Hinshaw & Culbertson LLP today announced that Frank A. Mazzagatti has joined the firm's Health Care industry group as a partner in the New York office. Mazzagatti brings extensive experience with health care regulatory compliance, licensing matters, and transactions.

Hinshaw congratulates firm client, OSF Healthcare System (OSF), on recently completing its acquisition of Perry Memorial Hospital, a 25-bed critical access facility located in Princeton, Illinois previously owned and operated for over 100 years by the City of Princeton. Under the terms of the deal, Perry Memorial has been renamed OSF HealthCare Saint Clare Medical Center. The medical center becomes the 15th hospital in OSF’s network.

Hinshaw partners Steve Moore and Carol Lockwood recently represented client Sisters of Mercy of the Holy Cross of Merrill, Wisconsin, Inc. (SCSC) and Bell Tower Residence, Inc. (BTR) in an affiliation with Wisconsin Illinois Senior Housing Inc. (WISH) in which WISH became the sole member of BTR. The purpose of the transaction, which closed May 1, 2019, was to transition sponsorship of BTR to WISH in order to carry out the mission of SCSC to serve the needs of elderly individuals residing in Merrill, Wisconsin.

Firm client Midwest Medical Center (MMC), a critical access hospital, recently closed on the refinancing of its outstanding tax exempt indebtedness. Hinshaw attorney Steve Moore, the chair of the firm's Health Care practice, represented MMC in the transaction.

Hinshaw & Culbertson LLP represented OSF Healthcare System in its affiliation with Mendota Community Hospital (MCH), a 25-bed, critical access hospital, in Mendota, Illinois. MCH has been renamed OSF Saint Paul Medical Center. The transaction closed on April 1, 2015, at which time OSF became the sole member of MCH.

Grogan is a featured presenter at the National Business Institute's live teleconference on "Bioethics: Current Issues for Attorneys," which will take place on Thursday, October 2, 2014. This program is designed for attorneys who want to expand their knowledge of legal cases affected by bioethics. Hinshaw & Culbertson LLP health law partner Michael A. Dowell will present at the California Society for Healthcare Attorneys Annual Meeting & Spring Seminar. He will moderate the session titled "Fraud & Abuse," which will discuss recent trends in hospital-physician transaction enforcement action judgments and settlements related to the anti-kickback statute, Stark self-referral prohibition, and False Claims Act. Attendees will learn about key valuation considerations and valuation report content requirements, as well as how to determine fair market value and commercial reasonableness. The panelists will describe the roles and responsibilities of hospital administrators, legal counsel and valuators in hospital-physician transactions. Defense counsel will discuss strategies to resolve compliance and enforcement matters with government regulators. Lastly, the panelists will outline hospital-physician transaction compliance program best practices and explain how to conduct compliance audits.

Hinshaw Health Care partner Michael A. Dowell wrote an article published in the March-April edition of the Journal of Health Care Compliance. The article discusses the changing regulatory and enforcement landscape facing hospitals and physicians; the laws and regulations applicable to hospital-physician transactions; recent enforcement actions related to physician employment contracts, medical offices leases, and personal services and management agreements/medical director agreements; and methods for effectively managing and investigating hospital-physician transactions.
