Hinshaw partners Steve Moore and Carol Lockwood recently represented client Sisters of Mercy of the Holy Cross of Merrill, Wisconsin, Inc. (SCSC) and Bell Tower Residence, Inc. (BTR) in an affiliation with Wisconsin Illinois Senior Housing Inc. (WISH) in which WISH became the sole member of BTR. The purpose of the transaction, which closed May 1, 2019, was to transition sponsorship of BTR to WISH in order to carry out the mission of SCSC to serve the needs of elderly individuals residing in Merrill, Wisconsin.
BTR has 85 assisted living residences, 21 of which are dedicated as memory support. WISH is a non-profit which owns and operates care facilities in the upper Midwest serving the housing and health care needs of elderly and disabled individuals.
