Hinshaw Represents OSF HealthCare in Affiliation with Mendota Community Hospital

Hinshaw & Culbertson LLP represented OSF Healthcare System in its affiliation with Mendota Community Hospital (MCH), a 25-bed, critical access hospital, in Mendota, Illinois. MCH has been renamed OSF Saint Paul Medical Center. The transaction closed on April 1, 2015, at which time OSF became the sole member of MCH.
The affiliation marks the end of a more than one-year transition period, in which Hinshaw assisted OSF with structuring the transaction, negotiation of the terms of the Letter of Intent, Affiliation Agreement and numerous related agreements, due diligence, and securing approval from HUD for the change in control of MCH.
OSF HealthCare, an integrated health system owned and operated by The Sisters of the Third Order of St. Francis, Peoria, Illinois, includes OSF Healthcare System consisting of eleven acute care facilities and two colleges of nursing.
