About Todd
An experienced business and commercial transactions attorney, Todd advises business owners and privately held and publicly traded companies on a wide variety of corporate matters, including complex mergers, acquisitions, and divestitures. He also counsels corporate clients on issues concerning corporate governance, finance, and lending transactions. He works with clients with interests and operations in an array of industries, whose annual sales range from $5 million to $1 billion. Todd also represents lenders and borrowers in negotiating and closing sophisticated loan arrangements.
In addition to counseling United States entities on domestic legal issues, Todd serves frequently as US counsel for non-US entities on their transactions in the states (including asset and entity purchases and sales) and for other governance matters relating to their US-based affiliates.

Experience
- Assisted UK-based insurance company in its sale of a group of related subsidiaries in the US and Bermuda, including complex interrelated post-closing servicing arrangements, revisions to internal governance documents, and negotiation of extended post-closing operational covenants.
- Represented a commercial lender in a series of loan agreements to a group of related family-office companies with a complex collateral package consisting of equity interests in closely-held investment funds.
- Represent numerous engineering firms in roll-up acquisitions of varying sizes and complexity across the country. Purchase price consideration in these transactions has included cash, promissory notes, and equity of the buyer.
- Represent an Illinois insurance company in its complex reorganization, including analyzing changes in licensing and the structure of tax-exempt and taxable activities.
- Represent a number of ESOP-owned companies in ongoing corporate governance issues, both those that are intimately tied to their ESOP ownership and those that are more generic.
- Represent ESOP trustees in numerous transactions involving the sale of the sponsor company, as well as the reorganization and recapitalization of the ESOP company.
