About Mark

Mark focuses on complex business transactions, leveraging his deep knowledge of corporate transactions, governance, finance, acquisitions, contracts, and business insolvency to help clients achieve their goals. He has worked with public and private companies, start-ups, and emerging brands on mergers, acquisitions, dispositions, private financings, and business restructurings. He also advises board members, managers, and partners on their duties and develops processes for corporate governance.

Additionally, Mark assists financial institutions and lenders with middle-market loan documentation, secured transactions, workouts, distressed real estate, and collateral dispositions.

Beyond his practice, Mark shares his thought leadership on business law through speaking engagements, publications, and participation in relevant organizations. In particular, with business entity formation, governance, and operations central to his practice, he has actively participated in an invitation-only organization dedicated to advancing beneficial changes to Illinois statutes governing entities such as limited liability companies and corporations.

Achieved a multi-unit restaurant sale across Northern Illinois on behalf of a franchisor, ensuring compliance and favorable terms throughout the transaction.
Enabled smooth cross-border supply chain financing for a US affiliate of an international wholesale meat importer by designing and documenting loan processes from offshore delivery to final US operations.

Representative Loan Transactions:

Facilitated the successful acquisition of a steel galvanizing facility in Northern Indiana by documenting a complex credit facility for the acquiring lender.
Enabled multi-million dollar financing across diverse US industries by structuring and documenting and receivables-based loans for automobile suppliers, steel manufacturers and processors, and medical service providers.
