Hinshaw attorneys Mark Carter, Anthony Jacob, and Kyle Fonjemie each authored chapters in the newly released 2025 edition of the Illinois Institute for Continuing Legal Education (IICLE) “Limited Liability Companies” handbook. IICLE, the leading provider of continuing legal education in Illinois since 1961, publishes resources designed to support and educate Illinois attorneys on the latest developments in the legal profession.
About the Handbook
This handbook equips attorneys to advise clients on structuring and operating LLCs, offering a comprehensive background on LLC effectiveness, guidance on filing Form LLC‑5.5 (Articles of Organization), and coverage of tax, insolvency, and series LLC issues.
It includes sample forms (member-managed and single-member operating agreements, pre-organization and series agreements), along with charts comparing business forms and checklists for LLC formation, operating agreement provisions, client drafting issues, and options for modifying fiduciary duty.
