About Eliot
Eliot has decades of experience in domestic and international business transactions across both private and public sectors. He advises clients on tax, contracts, financial and compensation planning, mergers and acquisitions, exit strategies, and overall business structuring in diverse industries, including telecommunications, internet commerce, real estate development and construction, international distribution, and project finance.
He also counsels senior and mezzanine lenders and equity participants on maximizing return on invested capital, borrower bankruptcy, inter-creditor disputes, successor developer liability, and contractual rights and obligations involving developers.
Areas of Focus
Experience
- Represented buyer/operator in the acquisition of a gas station convenience store, subsequent sale, and leaseback for management of the operation. The $3.5 million deal included fuel supply agreements, and environmental testing and liability contracts for the property in the Space Coast Region of Florida.
- Represented real estate client in the sale of real estate and intangibles, and joint venture for development of a multifamily apartment community.
- Represented the purchaser in the acquisition of 14 separate properties over time for an assemblage project with financing encumbering the properties in the amount of $7.6 million.
