About Bonnie
Bonnie works with consumer lending and other providers of consumer financial services nationwide, helping her clients manage a broad range of challenges posed by consumer finance regulatory requirements. She provides compliance counsel on state and federal lending laws and state licensing laws applicable to consumer lending and mortgage companies, auto finance companies, and collection agencies. Bonnie also helps fintech companies and other alternative lenders solve legal issues relating to their new and emerging business models.
Bonnie helps clients obtain state consumer finance licenses, maintain compliance, and satisfy ongoing obligations, including annual reporting, renewal requirements, and reporting requirements triggered by company changes. She represents clients facing state examinations and enforcement actions. She also works with clients to alleviate challenges surrounding the Nationwide Multistate Licensing System and Registry (NMLS), the official system for companies and individuals seeking to apply for, amend, renew, and surrender licenses in some jurisdictions.

Experience
- Engaged to advise one of the largest US banks and financial services companies in connection with a planned merger with another institution. Specifically, to advise the bank on a host of federal and multi-state issues related to additional products offered by the institution, including mortgage and personal loans, enhancing its compliance management system to support these new products, and to provide strategic advice related to the merger.
- Engaged by Hinshaw client, a national agricultural association financial institution, to provide strategic advice and counsel directly to the bank's Chief Executive Officer and Chief Financial Officer regarding the structure of its mortgage and consumer lending activities. The engagement includes evaluating existing relationships and identifying additional, innovative options to expand the bank’s product offerings.
- Provides strategic counsel to a home furnishings manufacturing and distribution company on licensing and state law compliance matters governing the company’s consumer finance activities. Hinshaw advised the company on potential options regarding bank partnerships, lending products, and other options to allow the multi-national company to expand its consumer finance operations. The team also advised the company on regulatory and compliance matters related to the use of a DBA, including amendments to its credit agreements, disclosures and related documents.
- Handled all licensing change of control requirements to facilitate the transfer of the ownership of the company to an Employee Stock Ownership Plan (ESOP). This engagement included obtaining requisite approvals from state regulators, including the New York Department of Financial Services, to allow the transaction to successfully close.
