With cybersecurity legislation and regulation sweeping the country in response to a series of high-profile hacking and ransomware attacks, it was little surprise that cybersecurity was a topic at the recently concluded Mortgage Bankers Association's Conference on Legal Issues and Regulatory Compliance. A major takeaway at the conference was that lenders and servicers with consumer-facing platforms that collect personal information should review their cybersecurity policies immediately. Simply waiting for an agency inquiry, investigation, or a breach could result in dire financial and reputational consequences.

A unanimous United States Supreme Court (SCOTUS) on April 1, 2021, resolved more than a decade of Telephone Consumer Protection Act (TCPA) litigation and untold millions of dollars in claims by disentangling the contorted definition of automatic telephone dialing system (ATDS), or autodialer. Courts have struggled to uniformly define this equipment, creating a Circuit split. One side holding an incredibly broad range of equipment could be deemed an autodialer by including within the definition equipment capable of storing telephone numbers to be called whether or not the equipment used a random or sequential number generator. The other holding that a much narrower class of equipment should fall within the definition, requiring the equipment to either store or produce telephone numbers using a random or sequential number generator. SCOTUS favored the latter, narrower interpretation.

On November 6, 2019, the Consumer Financial Protection Bureau (Bureau) hosted the third installment of its symposia series, addressing Dodd-Frank Section 1701 which, when implemented, will require financial institutions to collect, report, and make public certain information concerning credit applications made by women-owned, minority-owned, and small businesses. At the event, two panels discussed this data collection rule, including experts from traditional and fintech lenders, academic and policy researchers, advocacy groups, and regulators.

The New York State Department of Financial Services (DFS) recently issued Insurance Circular Letter No. 5 outlining its expectation that NY-regulated insurers make the diversity of their leadership a business priority and a key element of their corporate governance. Questions related to diversity-related efforts will be integrated into DFS’ insurer examination process starting in 2022.

The New York State Department of Financial Services (DFS) has issued guidance imposing rigorous cyber risk measurement and management practices on NY-regulated property/casualty insurers that write cyber insurance. The guidance also recommends against insurers making ransomware payments, noting recent FBI warnings and OFAC guidance that insurers can be held liable for ransomware payments to sanctioned entities. The framework also provides that cyber insurance policies should include requirements that victims notify law enforcement in the event of an attack.
