Hinshaw & Culbertson LLP partner Adam L. Saper will present as part of a panel on the topic "LLC and S Corporations: Funding Options, Liability Limitations, Dispute Processes, and Leadership/Management Structures," at the Illinois Institute for Continuing Legal Education's (IICLE's) "LLCs vs. S Corporations" program from 1:15 – 3:00 on June 8, 2015. Specific issues to be addressed include:
- Various specific approaches to LLC (and S Corporation) liability limitations for members, managers, and agents of Illinois and Delaware LLCs (and for shareholders, officers and agents of S Corporations)
- Dispute processes as well as recent selective Illinois and Delaware LLC (and corporation) cases affecting these three areas (and covering such issues as indemnification and derivative actions)
- Leadership and management alternatives and how to draft for and successfully implement them.
- Selected entity funding practices, challenges, alternatives, and recommended approaches.
