About Mitchell
Mitchell concentrates his practice on corporate transactions, mergers and acquisitions, and commercial real estate, advising closely held companies and businesses, entrepreneurs, investors, and middle-market clients across the construction, transportation, industrial, manufacturing, real estate, technology, healthcare, and cannabis sectors. He counsels clients at every stage of a deal—from letter of intent through closing and post-closing integration—bringing practical judgment and precision to deal structuring, negotiation, and diligence.
In his M&A work, Mitchell serves as lead counsel on complex transactions for both buyers and sellers, including stock and asset sales, mergers, joint ventures, and shareholder recapitalizations. His experience includes representing the seller in a $150 million sale of a construction materials company and advising on growth and investment transactions, including a $15 million venture capital investment in a technology company. He frequently works on deals involving layered ownership structures, lender participation, and financing considerations that shape deal execution.
Mitchell has particular depth in SBA-financed acquisitions, coordinating lender eligibility requirements, and closing mechanics alongside conventional deal execution. He regularly advises clients on succession planning, voting and nonvoting equity structures, shareholder agreements, buy-sell provisions, and transition mechanics for family-owned and founder-led companies. His corporate practice further includes counseling on reorganizations, conversions, domestications, divestitures, and multi-entity restructurings involving holding companies, family LLCs, and intercompany agreements, as well as entity formation, governance, capitalization matters, and general commercial contracting.
