Peter E. Pederson, Partner in the Chicago office of Hinshaw & Culbertson LLP, obtained a victory on behalf of a former chief financial officer (CFO) of a Fortune 250 company in a “stock drop” ERISA class action. The case, filed in the U.S. District Court for the District of Columbia, involved claims that company officers who were also plan fiduciaries of a company benefit plan that invested in the company’s stock violated ERISA by failing to disclose accounting errors in the company’s financial statements. Finding that all claims against the former CFO (and claims against the company relating to his conduct) were time-barred because there was no evidence that he fraudulently concealed anything from the auditors of the company’s profit-sharing plan, the court granted summary judgment in favor of Hinshaw’s client. Plaintiffs had sought more than $360 million in claimed damages.

Hinshaw & Culbertson LLP will present the third biennial Definitive Disability Conference (DDC), October 12–13, 2017, in Boston, co-chaired by Robert Hess and Martin Rosen. The conference, of which Hinshaw is the lead sponsor, will focus on issues relating to the evaluation and litigation of disability claims, both with respect to disability income and long term disability policies.

Federal law does not supply a statute of limitations for a claim seeking equitable relief under ERISA, 29 U.S.C. 1132(a)(3), and therefore federal courts borrow the limitations period of the state-law cause of action to which the ERISA claim is most analogous. As a result, whether an equitable ERISA claim is time-barred depends on which state-law claim is most analogous and the time limitations that state law prescribes for that claim. The Second Circuit recently applied these principles in Connecticut General Life Ins. Co. v. Biohealth Labs, Inc., 988 F.3d 127 (2d Cir. 2021), to determine whether an ERISA plan fiduciary waited too long before bringing equitable ERISA claims against medical laboratories accused of a fraudulent billing scheme.
