During his nearly 20-year career, J. Logan Rappaport has developed a sophisticated, results-driven, and client-centered nationwide legal practice. He has extensive experience in all aspects of debtor-creditor affairs, including corporate debt workouts and restructurings, Chapter 11 reorganizations, asset liquidations in Chapter 7 and under state law, and receiverships. Logan represents asset-backed lenders—including national banks, alternative lenders, SBA 7(a) lenders, and community development financial institutions—equipment lessors, multiple panel Chapter 7 trustees, tax lien holders, national pension funds, landlords, debtors, global logistics, media, and other private entities both in and out of bankruptcy courts. Logan has developed significant skill in prosecuting and defending fraudulent conveyance, preferential transfer, breach of contract, replevin, breach of fiduciary duty, alter ego, usury, and nondischargability claims under the United States Bankruptcy Code and state law. He devotes a substantial portion of his practice to representing companies in the merchant cash advance industry and assists them in navigating the evolving legal landscape for alternative lending products.
Logan counsels clients on all aspects of corporate and financial restructurings, including debtor-in-possession financing arrangements, cash collateral use, adequate protection and automatic stay issues, clawback claims, claim objections, strategies for negotiating and obtaining optimal treatment in reorganizing plans, and asset sales. He is also an exceptional litigator with experience in state, federal, and bankruptcy courts across the country. While Logan is adept at negotiating and resolving disputes in a cost-effective manner, he does not shrink from a fight and relishes advocating for his clients in formal, adversarial settings. Regardless of the setting, he utilizes his broad knowledge and holistic approach to determine how best to meet his clients’ needs and how to extract the most possible value at as little a cost as possible for them as they confront financial distress, whether in their own rights or in third parties with which they do business.
