Ted advises US and foreign businesses, financial institutions, private equity firms, family offices, and nonprofit clients on tax planning for mergers and acquisitions, including buy-side and sell-side transactions, fund formation, executive compensation, and US federal, international, and state and local tax planning for corporations, partnerships, S corporations, and LLCs. He also counsels clients on tax controversies involving federal and state taxing authorities, estate and wealth tax planning, and tax planning related to bankruptcy, restructuring, debt modifications, and other business transactions.
His practice often involves issues that require close analysis of recent and proposed tax legislation, treasury regulations, administrative guidance, and judicial authority. Ted works with clients to evaluate tax positions, prepare for proposed sales, acquisitions, and other business transactions, respond to government inquiries, and address disputes as they arise.
