Representative Matters

Robert Minish has 40 years of experience in corporate and securities law. His clients include leading public corporations, which he advises on mergers and acquisitions, commercial financing transactions, sales and leasing transactions and securities litigation.

Mr. Minish has assisted issuers and underwriters with initial and secondary public offerings and private placements, proxy contests and tender offers. He also represents clients in proceedings before the Securities & Exchange Commission, the National Association of Securities Dealers, Inc., and various state Blue Sky commissions.

Representative Matters

Mr. Minish has represented clients regarding major transactional and litigation matters. For Centura Energy Corporation, prior to its merger with Minden Oil & Gas, Inc., he handled one of the first roll-ups of public limited partnerships registered with the SEC.

Mr. Minish has served with trial lawyers in the firm as lead counsel in many successful securities lawsuits, including a $90 million class action recovery in Jorstad v. IDS Realty Trust and a $32 million settlement in the Wickes securities litigation.


Mr. Minish has written on the Minnesota Uniform Commercial Code for the Minnesota Law Review, the Bench & Bar of Minnesota and other publications.

He has served as an instructor at the University of Minnesota Law School, has taught business law at St. Thomas College and has been a lecturer at Minnesota Continuing Legal Education programs.
