Daniel Zabludowski has a sophisticated business law practice, the scope of which includes U.S. and international commercial/business transactions, including the purchase and sale of businesses, business structuring and wealth preservation. He advises clients on a full range of internal business matters, including the investigation of corporate governance abuse, employment matters and severance disputes, consulting and management agreements, non-competition and confidentiality agreements, and the protection of trade secrets and intellectual property rights.

Mr. Zabludowski is active in representing many established growth companies and the venture capital firms that support them. He regularly works with an extensive network of institutional lenders, investments brokers, venture capital firms, private investors and consultants, including accounting firms which provide consulting services. He is also involved in many aspects of reorganization, buy-outs, loan restructurings and work-outs representing secured and unsecured creditors, investors and purchasers of assets or ownership interests of troubled companies.

Mr. Zabludowski has a substantial real estate practice, representing businesses and individual clients as well as those in the commercial and residential real estate industry in connection with the acquisition and sale of real estate, shareholder and partnership disputes, leasing, development and finance.

Additionally, Mr. Zabludowski acts as general or special counsel, advising clients in a wide variety of planning issues, including the formation, organization and structure of business entities such as corporations, limited liability companies and limited liability partnerships and joint ventures.

He is extensively involved in the representation of family-owned businesses with respect to the creation of family offices, multi-family offices and the development of governance structures such as family boards, family advisory boards and counsels.
Professional Background
Mr. Zabludowski merged his practice with Hinshaw & Culbertson LLP in August 2004. Previously he was a partner in the law firm of Litow, Cutler & Zabludowski, LLC, with offices in Fort Lauderdale, Miami and Boca Raton, Florida.  

Mr. Zabludowski is an active member of the International Bar Association, the Family Firm Institute and the French American Chamber of Commerce. He is also an active member of The Florida Bar, where he is a member of the Corporation, Banking and Business Law, Intellectual and Real Property, and Probate and Trust Law Sections.

Born in Montreal, Quebec, Canada, Mr. Zabludowski speaks fluent French.
