Corporate Lawyering in the Wake of Sarbanes-Oxley

The Sarbanes-Oxley Act, signed into law in 2002, imposed many new requirements on public companies as to corporate policies. Hinshaw & Culbertson LLP analyzed the Act’s provisions, regulations adopted by the SEC, and proposals of exchanges such as the New York Stock Exchange. Hinshaw lawyers then advised clients as to affected corporate governance issues. This article details the firm’s experience and several of the ways in which it helped clients adapt to and comply with new requirements imposed by Sarbanes-Oxley.
